【摘要】：股东表决权作为公司治理结构中的重要一环,是立法者为确保股东实现利益而赋予的。当代各国大多数公司法都规定了一股一权原则和资本多数决原则来维护股东的利益,但由于现代公司实行股东大会制度,股东表决权的行使会导致有些股东有可能介入、甚至支配公司或者是其他股东的利益。所以有必要在特定的情况下排除某些特别利害关系的股东表决权,来体现法律上追求的实质公平。我国《公司法》关于股东表决权排除制度规定的比较粗糙,实践性不强。本文主要以股东表决权的排除制度为中心展开,借鉴其他一些国家的相关规定,结合我国《公司法》的规定,从该制度的理论和现实依据进行阐释,对该制度的功能、核心问题具体问题具体分析,按照我国立法状况以及存在的相关问题进行思考,完善我国股东表决权排除制度,使股东表决权排除制度在实践中能真正发挥保护公司和中小股东利益的功能。【Abstract】：As a critical link in the corporate running system, shareholder voting rights are intended to ensure the realization of shareholders' interests。 Most corporate laws in the modern world have adopted the One Share-One Vote Rule and the Majority Rule in order to protect the interests of shareholders。 However, some shareholders may illegally intervene in or even manipulate the profits of the company or other shareholders as a result of shareholder meetings。 Therefore, it is necessary to exclude the voting rights from the interested shareholders in certain cases, so as to highlight the justice of the law。 The Corporation Law in China is lack of the practicality and yet to be improved in terms of the excluding of the voting rights。本文主要以股东表决权的排除制度为中心展开,借鉴其他一些国家的相关规定,结合我国《公司法》的规定,从该制度的理论和现实依据进行阐释,对该制度的功能、核心问题具体问题具体分析,按照我国立法状况以及存在的相关问题进行思考,完善我国股东表决权排除制度,使股东表决权排除制度在实践中能真正发挥保护公司和中小股东利益的功能。Based on the Corporation Law in China and with reference to some relevant laws in other countries, this paper focuses on the excluding of shareholder voting rights and tries to interpret the theory and practice of this rule。 Moreover, it analyses the functions and core issues of this rule on a case-by-case basis and further explores the current state and existing problems of legislation in China。 Finally, some suggestions for improving the excluding of shareholder voting rights are given as a conclusion of this paper, aiming to protect the interests of the company and the minority stockholders in practice。【关键词】：股东表决权 表决权排除 利害关系股东 完善建议【Keywords】: shareholder voting rights,excluding of the voting rights, interested shareholders, suggestions for improvement
