The Foreign Economic Contract Law contains sections on the formation and performance of contracts,liablities for breach of contract。assignment ,modification and termination of contracts and settlement of disputes。A contract is formed when the terms of the contract are agreed to in writting and signed by the parties。while the law does not explicitly say so ,the completion of a sontract requires an offer and acceptance。A contract is required to cover both the basic and substantive terms of the transaction。The Foreign Economic Contract Law stipulates that contracts for Chinese-Foreign equity and co-operative joint ventures,and for the joint exploitation and development of natural resources within the territory of the PRC,must be governed by Chinese Law。For other contracts,the parties may choose the law to be applied to the settlement of any disputes arising from the contract。If the contract is silent on the question of the governing Law,the law of country which was the contract connection with the contract applies。涉外经济合同法包括如下内容:合同的订立和实施,不履行合同规定的责任,合同的转让,修改及中止,以及解决合同纠纷。合同双方对以成文的条款达成共识,并在合同上签字以后,合同便形成了。尽管法律没有明文规定,但是共同的完成需要一方提供要约,另一方接受。合同必须涉及交易中的基本条款及实体条款。涉外经济合同法规定,有关中外产权及合作企业的合同,以及有关针对在中国境内联合开发和利用资源的合同,必须受中国法律的制约,对其他合同,合同双方可以选择适当法律以解决执行合同过程中产生的纠纷。如果合同中未涉及受哪一国法律制约,则依照与本合同相关最紧密的国家的法律行事。
